Terms of Service

The agreement between you and CentrixNodes covering everything we host for you: game servers, VPS, dedicated machines and colocation. It sets out what we owe you, what you owe us, and what happens when either side wants out.

Agreement to these terms

These Terms of Service (the "Terms") govern your access to and use of the hosting services provided by CentrixNodes ("CentrixNodes", "we", "us"). By ordering a service, creating an account, or using anything we host for you, you agree to these Terms.

Our Acceptable Use Policy and Privacy Policy are part of this agreement. If you do not accept all three, do not use the service.

If you are entering into these Terms for a company, a community or any other organisation, you confirm that you have authority to bind it, and "you" means that organisation.

Who we are and what we provide

CentrixNodes builds and operates hosting infrastructure from its own facility in Buffalo, New York, alongside capacity in partner data centres. We provide game server hosting, virtual private servers, dedicated servers and colocation, together with the control panels, networking and DDoS mitigation that go with them.

The specification of each service, meaning resources, location, mitigation and price, is whatever is shown on the product page and on your invoice at the time you order. Marketing copy elsewhere on the site describes the service in general terms and does not vary your order.

Eligibility and your account

You must be at least 18 years old, or the age of majority where you live, to hold an account. If you are younger, a parent or guardian must hold the account on your behalf and remains responsible for it.

You are responsible for the accuracy of the details on your account and for everything done through it. In particular:

  • Keep your billing details, contact email and any recovery information current, because we send suspension and renewal notices to the address on file.
  • Protect your credentials. Use two-factor authentication where we offer it, and never share a password with staff, ours or yours.
  • Use sub-user accounts and per-user permissions rather than handing out the master login. The panel supports this for exactly this reason.
  • Tell us promptly at support@centrixnodes.net if you believe your account has been accessed by someone else.

We may refuse, suspend or close an account where the details given are false, where payment cannot be verified, or where the account is linked to a previous breach of these Terms.

Ordering and provisioning

Most services are provisioned automatically the moment payment clears, usually within minutes. Some products (dedicated servers, colocation, custom builds and large or unusual orders) need manual setup, hardware allocation or a fraud check first, and we will tell you at checkout or by email if yours does.

Automated provisioning is not a promise of instant delivery in every case. Where a service cannot be delivered at all, we will say so and refund what you paid for it in full.

Prices are shown in the currency you select at checkout, converted from our base currency at prevailing rates. The amount your card or payment provider actually charges, including any conversion or transaction fee they apply, is a matter between you and them.

Fees, billing and renewals

Services are billed in advance for the term you choose. Unless your invoice says otherwise, billing is month to month with no minimum contract, and a service renews automatically at the end of each term at the then-current price for that product.

  • Invoices are generated ahead of the renewal date and sent to the email on your account.
  • Payment is taken automatically where you have a stored payment method or an active mandate.
  • Late payment may lead to suspension after the grace period shown on the invoice, and to termination and data deletion if it remains unpaid.
  • Reactivation of a suspended service may attract a fee, and we cannot guarantee the same IP address or hardware after a suspension.
  • Taxes are your responsibility where they apply, and are added at checkout where we are required to collect them.

Promotional pricing, coupons and launch offers apply to the term stated in the offer. Unless the offer says otherwise, the service renews at the standard price afterwards.

Chargebacks are not a substitute for cancelling. Raising one against a service you continue to use is a breach of these Terms, and we may suspend every service on the account until the matter is resolved.

Cancellation and refunds

You can cancel any service from your dashboard at any time. Cancellation takes effect at the end of the current billing period unless you ask for it to be immediate, and no further invoices are raised once it is scheduled.

Where our refund policy offers a money-back period, it applies to the first billing term of a new service and is claimed by opening a ticket within that window. Refunds are not available for:

  • Dedicated servers, colocation and any hardware or licence bought specifically for your order.
  • Setup fees, administrative fees, domain registrations and other one-off charges already incurred.
  • Services terminated by us for a breach of these Terms or of the Acceptable Use Policy.
  • Renewal terms, once the renewal has begun.

Where a refund is due, it goes back to the original payment method. Account credit issued as a goodwill gesture is not exchangeable for cash.

Acceptable use

Your use of everything we host is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. It covers prohibited content, network abuse, attack traffic, spam, mining and the rest.

Breaching that policy is a breach of these Terms. Depending on severity, it can lead to a warning, a filter, a suspension or immediate termination without refund.

Your content and your responsibilities

You keep ownership of everything you upload, install or generate on your service: your worlds, files, databases, code and player data. We claim no rights over it beyond what we need to operate, back up and support the service, and to comply with the law.

You are responsible for the software you run and for the people you give access to. That includes keeping game servers, panels, plugins, control panels and operating systems patched, and for the conduct of your staff, players and sub-users.

We do not monitor the content of your servers as a matter of course, and we have no obligation to. Where we are made aware of unlawful material, or of activity that threatens the platform or other customers, we will act.

Backups and data retention

Backup tooling is provided on most plans, and scheduled snapshots are available from the panel. Backups are a convenience feature, not a disaster recovery service, and they are stored subject to the quota on your plan.

Keep your own copies of anything you cannot afford to lose. We are not liable for the loss or corruption of data, including where a backup fails, is incomplete, or cannot be restored.

When a service is terminated or cancelled, the data on it is scheduled for deletion. Once it has been deleted it cannot be recovered, so download anything you want to keep before the service ends.

Availability, maintenance and support

We aim for continuous availability and publish live status for our network. Any uptime commitment and the remedies attached to it are set out in our Service Level Agreement; where no SLA applies to your product, the service is provided on a reasonable-efforts basis.

Planned maintenance is announced in advance wherever we can, and scheduled to minimise disruption. Emergency maintenance, such as a failing disk, a security patch or an attack in progress, may have to happen immediately and without notice.

Support is provided by ticket and through our Discord. We help with the infrastructure, the network and the panel. We will often help with your game server or application as a courtesy, but configuring, modding and debugging your own software remains your responsibility.

Resources and fair use

Each plan comes with a stated allocation of CPU, memory, storage and network capacity. Shared and game hosting products run on shared hardware, and sustained use well beyond your allocation degrades the service for everyone on that machine.

Where a service consistently exceeds its allocation, or where its I/O or network usage destabilises the host, we may throttle it, move it, ask you to upgrade, or, if the problem continues, suspend it. We will always try to reach you first.

Third-party software and game licences

Games, mods, plugins, panels, operating systems and control panels supplied with your service carry their own licences and terms. You must comply with them, including any end user licence agreement issued by a game publisher and any rule about running commercial or monetised servers.

We do not grant you rights to third-party software beyond what its own licence gives you, and we are not responsible for it. Where a publisher requires us to remove or restrict something, we will comply.

Intellectual property

The CentrixNodes name, logo, site, documentation, control panel customisations and supporting tooling are ours or our licensors'. Nothing in these Terms transfers any of it to you.

You may not copy, resell, reverse engineer or white-label our platform except under a reseller agreement signed with us.

Warranties and disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties that are not expressly set out in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the service will be uninterrupted, error free or entirely secure, that mitigation will absorb every attack, or that it will meet a requirement you have not told us about.

Nothing here excludes liability that cannot lawfully be excluded, and if you are a consumer, your statutory rights are unaffected.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, players, or data, however caused.

Our total aggregate liability arising out of or in connection with the service is limited to the amount you paid us for the affected service in the three months before the event giving rise to the claim.

Indemnity

You agree to indemnify and hold CentrixNodes harmless against claims, damages, losses and reasonable legal costs arising from your use of the service, the content you host, your breach of these Terms or of the Acceptable Use Policy, or your infringement of anyone else's rights.

Suspension and termination

We may suspend or terminate a service where you breach these Terms or the Acceptable Use Policy, where an invoice goes unpaid, where the service threatens the stability or security of our network, or where we are required to by law.

Wherever the situation allows it, we will contact you first and give you a chance to fix the problem. Where it does not, as with an active attack, unlawful material or an ongoing compromise, we may act immediately and explain afterwards.

You may terminate at any time by cancelling from the dashboard. Termination does not relieve either side of obligations accrued before it, and the clauses on liability, indemnity and intellectual property survive.

Changes to the service and to these terms

We may update these Terms as the service changes or the law requires. The effective date at the top of this page always reflects the current version.

Where a change materially affects you, we will give reasonable notice by email or through the dashboard before it takes effect. Continuing to use the service after that point means you accept the updated Terms; if you do not, you may cancel.

We may also add, change or retire features. Where we retire something you rely on, we will give you notice and, wherever we can, a migration path.

Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules, and the courts of that state have exclusive jurisdiction, except that either party may seek injunctive relief wherever it is needed.

Before starting formal proceedings, please raise the issue with us. Most disputes are a misunderstanding about scope or billing, and are resolved in a ticket the same week.
